Advisory Firm Description
Platform Partners LLC (“Platform” or the “Investment Manager”), a Delaware limited
liability company, was organized in 2017 and serves as investment manager to two private
pooled investment vehicles: Platform Partners Investment Company LLC (“PPIC”) and
South Coast Co-Investment Holdings LLC (the “Co-Investment”). PPIC and the Co-
Investment are collectively referred to as the “Companies”. The Companies are exempt
from registration as an investment company under the Investment Company Act of 1940,
as amended (the “Investment Company Act”).
Platform provides investment management services to the Companies and may in the future
provide investment advisory services to other pooled investment vehicles. As of the date
of this brochure, however, the Companies are Platform’s only clients.
Please refer to Item 8 for a more detailed description of Platform’s investment strategies.
Platform is indirectly owned and controlled by Fred R. Lummis, Frederick W. Brazelton,
and Bradley L. Morgan (the “Platform Principals”) and managed by its board of directors
(the “Platform Board of Directors”), which is comprised of the Platform Principals. PPIC
is managed by its board of directors (the “PPIC Board of Directors”), which comprised of
the Platform Principals. The Co-Investment is managed by Platform.
Types of Advisory Services
Platform provides discretionary investment advice to the Companies consistent with each
Company’s investment objectives, strategies, and guidelines set forth in their respective
operating and disclosure documents. Platform
also provides certain ancillary managerial
and administrative services, including, without limitation, identifying and screening
potential investments, recommending strategies for the management and disposition of
investments, monitoring the performance of portfolio companies, and preparing reports
necessary or appropriate for compliance with the governing agreements for the Companies.
Interests in the Companies are privately offered only to institutional investors and high-net
worth individuals, in each case, who are qualified purchasers under the Investment
Company Act.
Tailored Advisory Services
Platform’s advisory services are tailored to the investment objectives, parameters and
restrictions of the Companies, which are disclosed to investors and prospective investors
in the Companies’ operating and disclosure documents.
PPIC seeks to make investments in equity, preferred equity, other equity-like securities and
mezzanine and other similar instruments of small to middle market platform companies in
a variety of industries.
The Co-Investment is a single-investment fund formed to invest alongside PPIC in South
Coast Terminals, a private manufacturing company.
Client Assets Under Management
As of January 1, 2024, the Investment Manager managed $645,691,000 in client assets on
a discretionary basis and no assets on a non-discretionary basis. For these purposes, the
Investment Manager considers “client assets” to be equivalent to “regulatory assets under
management”, as identified in response to Item 5 of Part 1A of Form ADV.
