Overview
A. Description of the Advisory Firm
Stock Farm Partners LLC (conducting its advisory business under the name Stock Farm), a Delaware
limited liability company, is an investment advisory firm that was founded 2018. The firm is a
manager of venture capital and private equity funds of funds, each organized as a partnership
(referred to as a “Stock Farm Fund”, “Fund”, or “Partnership”). Stock Farm currently provides
discretionary investment advisory services for three Funds.
Each Fund has an associated general partner (each, a “General Partner” and together, the “General
Partners”).
The principal owner of Stock Farm is Bowman C. Wingard.
B. Types of Advisory Services
Stock Farm provides discretionary investment advisory services to the Funds, which are private
investment vehicles, by managing the investment of their assets. Stock Farm seeks to provide the
investors of each Fund the opportunity to realize significant, long-term capital appreciation through
investment in a select group of venture capital and private equity partnerships (the “Portfolio
Partnerships”) managed by third-party managers. Stock Farm’s investment advice is generally
limited to the selection of these Portfolio Partnerships.
The Firm’s strategy is described
in the Funds’ limited partnership agreements (the “Governing
Documents”).
The Funds offered interests only to certain sophisticated investors and admission in the Funds is not
open to the general public. Interests are sold only to qualified investors who are “accredited
investors” under Rule 501 of Regulation D of the Securities Act of 1933, as amended, and “qualified
purchasers” as such term is defined in Section 2(a)(51) of the Investment Company Act of 1940, as
amended.
C. Client Tailored Services and Client Imposed Restrictions
Stock Farm neither tailors its advisory services to the individual needs of investors nor accepts
investor-imposed investment restrictions with respect to the Funds, other than the case when the
Fund is a single Limited Partner vehicle, in which case any investor requirements or restrictions
would be covered in the Governing Documents. In general, each Fund is a blind pool.
D. Wrap Fee Programs
Stock Farm does not participate in wrap fee programs.
E. Amounts Under Management
As of September 30, 2023, Stock Farm (including the General Partners) had $154,028,248 of
regulatory assets under management on a discretionary basis. Stock Farm does not manage any
assets on a non-discretionary basis.
