Empros Capital LLC (“we”, “Empros” or the “Adviser”) is an investment advisory firm established in July 2017 with its principal place of business in San Francisco, California and organized as a limited liability company under the laws of the State of California. Empros is ultimately owned and controlled by Alexander Fishman, (the “Managing Member”). Empros provides investment advisory services to series of private funds (each a “Fund” or a “Client” and collectively, including any future pooled investment vehicle for which Empros may serve as an investment adviser, the “Funds”, “Clients” or “Client Accounts”). Empros tailors its advisory services to the specified investment mandates of its Clients, consistent with each Client’s governing documents,

which may include, among other things, a private placement memorandum, limited partnership agreement, management or investment advisory agreement, operating agreement, certificate of designation, and/or subscription agreement (individually and collectively, the “Governing Documents”). Generally, Empros focuses on private capital markets for technology companies. Any investor or prospective investor in a Fund (an “Investor”) should closely review the applicable Governing Documents with respect to, among other things, the terms, conditions, and risks of investing. As of December 31, 2022, Empros managed approximately $317,333,634 in regulatory assets under management on a non-discretionary basis. Empros does not participate in wrap fee programs.
