Our Organization
GCP Capital Partners LLC (“GCP Capital” or the “Adviser”) is a Delaware limited liability
company. The Adviser provides investment advisory services to private equity funds (each a
“fund” or “client” and collectively “funds” or “clients”).
GCP Capital was formed in December 2009 by the founders and senior investment professionals
of Greenhill Capital Partners, LLC, the merchant banking business of Greenhill & Co., Inc.,
(NYSE: GHL) to enable the investment professionals to raise successor funds in a more
independent form.
GCP Capital provides advisory services to GCP Capital Partners III, LP (“GCP III”), GCP Capital
Partners IV, LP (“GCP IV”), GCP Capital Partners V, LP (GCP V) and GCP II/III SPV, LP, and
each of their related funds (collectively, the “Funds”).
All Funds are exempt from registration under the Investment Company Act of 1940, as amended
(the “Investment Company Act”), pursuant to Section 3(c)(1) and/or Section 3(c)(7) of the
Investment Company Act. Interests in the Institutional Funds are only offered to investors that are
(a) “accredited investors,” as defined in Regulation D of the U.S. Securities Act of 1933, as
amended (the “Securities Act”), and (b) “qualified purchasers” for purposes of Section 3(c)(7) of
the Investment Company Act. Interests in the Affiliated Funds are offered to investors that are
accredited investors, qualified purchasers or knowledgeable employees of the Firm who meet the
sophistication
standard.
Principal Owners
We are 99% owned by GCP Capital Partners Holdings LLC, which itself is indirectly controlled
by our Chairman, Robert H. Niehaus. Mr. Niehaus owns 1% of us directly.
Types of Services Offered
As discussed above, the Adviser provides investment advisory services to private equity funds.
The investments made by the funds are typically private equity and equity-related investments
generally with a medium to long-term time horizon.
Ability to Tailor Services and Impose Restrictions
The limited partnership agreements and private placement memoranda (“governing documents”),
governing the funds we advise contain certain investment limitations. The investment limitations
are intended to (1) prevent overexposure to a particular portfolio company and (2) ensure that most
of the committed capital is invested in line with the core investment strategy (i.e. are medium to
long-term investments, in private companies primarily engaged in business within North America
and are not blind-pool investments). Each limited partner is provided with a copy of the relevant
limited partnership agreement. Investment advice and management is provided directly to the
funds and not individually to the limited partners of or investors in the funds.
Assets Under Management
As of December 31, 2023, GCP Capital has approximately $669,414,758 of assets under
management, all of which is managed on a discretionary basis.
