A. Principal Owners and Background
Harris Preston & Partners, LLC (the “Adviser”) was founded in 2006 by Charles M. Preston III and Ron
R. Harris. The Adviser is owned by affiliates of Mr. Preston and Mr. Harris (the “Principal Owners”). Our
primary business is managing private equity funds of funds (“Funds of Funds”) and single investment
partnerships investing directly in the securities of one portfolio company or indirectly through a holding
company sponsored by another private equity firm (“Co-Investment Funds”). We may in the future sponsor
one or more blind pool funds investing in co-investment opportunities sponsored by other private equity
firms (“Blind Pool Co-Investment Funds”). We also manage some investment partnerships (“Non-Program
Funds”) that are not part of the Program described below. We refer to the Funds of Funds, the Co-
Investment Funds and any future Blind Pool Co-Investment Funds that we manage as the “Funds;” we refer
to the Funds and the Non-Program Funds as our “Clients;” and we refer to the limited partners in our Funds
as “Investors.”
We currently only provide advisory services to private investment funds. We do not provide investment
advice to the Investors in our Clients, or any other individual investor at this time, but we may do so in the
future.
Our current investment program (the “Program”) consists of (1) four Funds of Funds that invest in other
private equity funds (“Sponsor Funds”) managed by established private equity investment firms and
professionals (“Sponsor Firms”); and (2) “Co-Investment Funds,” each of which allow the Investors in our
Funds of Funds, and select strategic investors, the opportunity to indirectly participate in investments in a
single portfolio company generally alongside one of the Sponsor Funds. For more information about the
investment strategies of the Program, please see Item 8 – Methods of Analysis, Investment Strategies and
Risk of Loss below.
Charles M. Preston III. Mr. Preston co-founded the Adviser with Ron R. Harris in 2006 and indirectly
owns 50% of the membership interests of the Adviser through a wholly-owned limited liability company.
Effective March 1, 2024, Mr. Preston controls 100% of the voting membership interests in the Adviser.
Mr. Preston has been a Managing Director of the Adviser and one of the two managers of the Adviser since
its founding.
From 1997 to 1999, Mr. Preston was a portfolio manager in the Private Markets Group at The University
of Texas Investment Management Company (“UTIMCO”), where he was primarily responsible for the
commitment by UTIMCO-managed funds to various private equity partnerships. Mr. Preston also founded
and owns 220 Partners, LLC, which was a predecessor to the Adviser and previously managed an
investment program similar to the Program.
Prior to entering the private equity industry, Mr. Preston was a corporate finance and securities attorney
with Vinson & Elkins LLP. He holds a law degree from Southern Methodist University and a Bachelor’s
degree in both Economics and Business Administration from The University of Texas at Austin.
Mr. Preston currently serves on the board of directors of Longhorn Leads, LLC, a Non-Program Fund. Mr.
Preston also serves on the Board of Directors of Mustard Seed Partners, a Texas non-profit, Preston family
charity, as well as the advisory board of Sands Capital Management, an SEC registered investment adviser,
and the board of directors of Promised Grounds Coffee. Please see Item

Ron R. Harris. Mr. Harris co-founded the Adviser with Mr. Preston in 2006 and indirectly owns 50% of
the membership interests in the Adviser through a wholly-owned limited liability company. Effective
March 1, 2023, the membership interest owned by Mr. Harris’ affiliate became non-voting. Mr. Harris was
a Managing Director and one of the two managers of the Adviser from its founding through February 28,
2023, and as of March 1, 2023, Mr. Harris is no longer involved in the investment process of the Adviser
or its affiliated entities. William Glasgow has replaced Mr. Harris on the Adviser’s two-person Board of
Managers and effective March 1, 2023, Mr. Glasgow and Mr. Preston are solely responsible for making
investment decisions on behalf of our Clients.
William Glasgow. Mr. Glasgow joined the Adviser in 2016 as Managing Director, and effective March
31, 2023, Mr. Glasgow is one of the two members of our Board of Managers with Mr. Preston. He provides
leadership in investment matters including deal sourcing, fundraising, marketing materials, and initial
analysis of investment opportunities.
Mr. Glasgow has been the President of Prime IX Investments for 40 years, where he previously oversaw
an investment portfolio of over 50 equity investments, and he is currently overseeing the orderly wind down
of its investment portfolio. Mr. Glasgow has a broad operating and investment background, including
experience in education, telecommunications, cable TV, and as a partner in several venture capital funds.
He has sat on many Boards of both private and public companies, and is also a co-inventor of multiple
patents and founder of www.betterdad.com and Tickettolearn.com. He has served as the past Chairman and
Vice Chairman of the Texas Charter School Association and a past member of two Department of Education
Boards focused on educational grants and post-secondary oversight.
Mr. Glasgow has spent 20 years involved in growing a private K-12 school from 70 students to over 1,000
students. For over 30 years he has been involved in the entrepreneurship program and Venture Labs
competition at the University of Texas MBA program.
Mr. Glasgow graduated Magna Cum Laude from Vanderbilt University in 1981 and received his MBA
from the University of Texas in 1985.
We have updated our succession plan effective March 1, 2023, as follows: if Mr. Preston were to die or
become disabled, Crystal Matthews and Scott Donaldson would join Mr. Glasgow on our Board of
Managers. If Mr. Glasgow were to die or become disabled, Mr. Preston would become the sole member of
our Board of Managers. If both Mr. Preston and Mr. Glasgow were to die or become disabled, Mr.
Donaldson and Ms. Matthews would become the two members of our Board of Managers.
B. Tailoring of Advisory Services
The Adviser tailors its investment advice in accordance with the investment objective and strategy of the
applicable Fund, as set forth in the offering documents for such Fund. The Adviser does not tailor advisory
services to the needs of any particular Investor in any of the Funds.
C. Wrap Fee Programs
The Adviser does not participate in wrap fee programs.
D. Assets Under Management
As of December 31, 2023, the Adviser had approximately $632,394,000 of assets under management on a
discretionary basis and approximately $14,431,000 of assets under management on a non-discretionary
basis.
