Galileo Investment Management LLC, Galileo Investment Management (Canada) LP and Galileo Lux GP
S.à.r.l. (together, “Galileo Investment Management” “we” “us” or “Firm”) operate as a single investment
advisory firm, which is controlled and managed by Oscar Alerhand. Oscar Alerhand is the principal owner
of Galileo Investment Management LLC, which was formed as a Delaware limited liability company in
2005. Ruben Goldberg and David Alerhand are the principal owners of Galileo Investment Management
(Canada) LP, which was formed as an Ontario, Canada limited partnership in 2005. Oscar Alerhand
controls the General Partner of Galileo Investment Management (Canada) LP. Oscar Alerhand, Ruben
Goldberg and David Alerhand are the owners and principal managers of Galileo Lux GP S.à.r.l., which was
formed as a Luxembourg limited partnership (société à responsabilité limitée) in 2014. Jonathan Alerhand
is a Principal of Galileo Investment Management LLC, holds senior responsibilities in the research and risk
management activities of the firm and is a member of the firm’s Investment Committee.
We provide discretionary investment advice solely to private investment funds (our clients) pursuant to
investment management agreements between Galileo Investment Management and our clients. We serve
as investment adviser to the following 5 funds:
• Galileo Total Return Fund US LP (the “Galileo Total Return Master Fund”): a Delaware U.S.
limited partnership that is the master fund in which the Galileo Total Return Fund LP and the
Galileo Total Return Offshore Fund Ltd. invest (the latter two referred as “the Galileo Total Return
Feeder Funds” and the three together referred as “the Galileo Total Return Funds”). The Galileo
Total Return Master Fund also accepts direct investments from U.S. investors.
• Galileo Total Return Fund LP: an Ontario, Canada limited partnership that invests all its assets
directly into the Galileo Total Return Master Fund.
• Galileo Total Return Offshore Fund Ltd.: a Cayman Islands exempted company that invests all
its assets directly into the Galileo Total Return Master Fund.
• Galileo Enhanced Opportunities LP (the “Galileo Enhanced Opportunities Master Fund”): a
Delaware U.S. limited partnership that is the master fund in which the Galileo Enhanced
Opportunities, a sub-fund of Galileo Investment Fund, invests (the sub-fund referred as “the Galileo
Enhanced Opportunities Feeder Fund” and together with the Galileo Enhanced Opportunities
Master Fund “the Galileo Enhanced Opportunities Funds”). The Galileo Enhanced Opportunities
Master Fund also accepts direct investments, primarily from U.S. investors.
• Galileo Investment Fund SCA SICAV-SIF (the “Galileo Enhanced Opportunities Feeder Fund”):
a Luxembourg umbrella investment company with variable capital – specialized investment fund,
organized as a corporate partnership limited by shares and approved by the Luxembourg
Supervisory Authority of the Financial Sector (the “CSSF”).
• Galileo Co-Investments Master Fund LP (the “Galileo Co-Investments Master Fund”): a
Cayman Islands limited partnership that is the master fund in which the Galileo Co-Investments
LP and the Galileo Co-Investments Ltd. feeders invest (the latter two referred as “the Galileo Co-
Investments Feeder Funds” and the three together referred as “the Galileo Co-Investments Funds”).
• Galileo Co-Investments LP: a Delaware, U.S. limited partnership that invests all its assets directly
into the Galileo Co-Investments Master Fund.
• Galileo Co-Investments Ltd.:
a Cayman Islands exempted company that invests all its assets
directly into the Galileo Co-Investments Master Fund.
The investment objective of the Galileo Total Return Funds is to seek positive returns across investment
cycles with low correlation to traditional equity and fixed income investments, primarily through a multi-
strategy, multi-manager fund-of-funds strategy, allocating client assets among a selected group of portfolio
managers who, as a group, employ a variety of investment strategies.
The investment objective of the Galileo Enhanced Opportunities Funds is to generate equity-like returns
with lower risk of capital losses than the broader equity markets, with a source of returns from long and
short equity positions, differentiated from long exposure to equity market indices. The Galileo Enhanced
Opportunities Funds will seek to achieve this objective through exposure to long/short equity investments,
special-situation equity opportunities, and long-biased equity with specialized hedge fund and sector-
specific managers as well as through opportunistic direct investments and co-investments in select equity
or equity related investments.
The investment objective of the Galileo Co-Investment Funds is to generate equity-like returns, outperform
general equity market indices and provide capital protection by purchasing securities at what the Investment
Manager believes to be discounted valuations. The Galileo Co-Investment Funds will not hedge its overall
market risk, although it may hedge specific risks related to individual investments, and do not expect to use
general leverage, but it may use call and put options to augment buying and selling its positions. The
Galileo Co-Investment Funds are expected to have low correlation to general markets, as its portfolio is
expected to be concentrated and consist of investments with idiosyncratic characteristics. Their objective
is to generate a total return over a three-year investment period without managing intermediate volatility.
The Galileo Total Return Funds, the Galileo Enhanced Opportunities Funds, and the Galileo Co-Investment
Funds together shall be referred as “The Galileo Funds” or “our funds” There can be no assurance that the
Galileo Funds’ objectives will be achieved or that they will not incur losses.
The investment management services that we provide to our funds primarily consist of allocating their
capital to a select group of portfolio managers whose investment strategies involve the application of non-
traditional methods of investing, and to a select group of co-investments executed with portfolio managers
with whom we chose to partner to make such co-investments We use our skills, industry contacts,
experienced judgment, and resources to perform the extensive due diligence and critical manager evaluation
required to identify the most attractive investment opportunities, and to select and combine those portfolio
managers whose investment strategies and styles we believe are most likely to achieve the objectives of our
funds. We provide tailored advice to each fund considering its investment objectives and the investment
restrictions contained in the specific fund’s organizational documents and investment management
agreements.
Wrap Fee Program
Galileo Investment Management does not participate in wrap fee programs.
Assets Under Management
As set forth on Form ADV, Item 5, our Regulatory Assets Under Management totaled $121,573,749 as of
December 31, 2021, which is all managed on a discretionary basis. We do not manage client assets on a
nondiscretionary basis.
